Terms and Conditions of Sale
1. Definitions.
1.1 UK-WW refers to UK Website Workshop Limited, ( company number 6708841), registered at 90 Deansgate Manchester M3 2QJ and having an operational address at 71 High Elm Road Halebarns Altrincham WA15 0RN.
1.2 Project refers to services undertaken by UK-WW for the Client on their request and detailed in a Project Specification Document which will be prepared by UK-WW and accepted by email confirmation by the Client.
1.3 Client refers to a person, persons , business or organisation using the services provided by UK-WW.
1.4 Live on the Internet refers to a website which can be accessed on the internet by via its own domain address; i.e. this is in contrast to a website which is accessed on the UK-WW development server via a UK-WW domain.
1.5 Hosting is a yearly payment to keep the Client’s website live online.
1.6 Content refers to text animation artwork and images displayed on a website.
1.7 First-Website is a service where a Client supplies content and chooses a website layout from the UK-WW First-Website Portfolio. UK-WW create a website using the content supplied by the Client and the portfolio website layout. The client upon payment has the right to use the website design, but the design remains the intellectual property of UK-WW and can be re-used by UK-WW to create a website for a third party.
1.8 Website-Fast is a service where a Client supplies content and chooses a website layout from the UK-WW First-Website-Fast Portfolio. UK-WW create a website using the content supplied by the Client and the portfolio website layout. The client upon payment has the right to use the website design, but the design remains the intellectual property of UK-WW and can be re-used by UK-WW to create a website for a third party.
2. Agreement. When the Client places an order or pays a deposit it will be deemed that an Agreement has been entered into on these terms and conditions to the exclusion of all other terms and conditions. Variations will have no effect unless comfirmed by UK-WW in writing.
3. For sales of First-Website and Website-Fast see the additional product specific Terms and Conditions for distance selling and eCommerce Additional Terms. For the avoidance of doubt these terms and conditions will apply in conjunction with the Additional Terms. If conflict arises these terms and conditions will apply.
4. The specific services to be provided in conjunction with the Project and payment arrangements will be set out in a Project Specification Document.
5. Communication of requests and agreements will normally be by e-mail.
6. Where a deposit is required before work commences details will be set out in the Project Specification Document as will arrangements for the payment of any remaining balance.
7. Where images to be included in the Content are purchased by UK-WW for use on the client’s website they may be subject to copyright arrangements which restrict their use. Before using any images on advertising material the Client should check with UK-WW. Any breach of copyright will be the responsibility of the Client.
8. It is the responsibility of the Client to ensure they have the right to use text and images and all other Content which they or their agents supply as content for their website.
9. The Client is responsible for ensuring their website is not used for illegal purposes.
10. UK-WW offer 12 months free hosting on material completion of sites. Where the client chooses not to use UK-WW to host their site no reduction in price is due to the Client.
11. Domain names ending .co.uk , selected by UK-WW, are provided free of charge to the Client upon final payment and a website going Live on the Internet. Where a domain name is to be transferred to another hosting company an administration fee of £50 will become immediately due and must be paid in full before the domain will be transferred.
12. UK-WW will renew domain name registrations on behalf of Clients where UK-WW host the relevant website. Where UK-WW do not host a website UK-WW have no responsibility for renewing domain name registrations.
13. When an order is placed UK-WW will give an estimated target date for completion, UK-WW can in no circumstances guarantee a Live on the Internet date.
14. When designing bespoke websites UK-WW will agree whether search engine optimisation (SEO) is included in the service. Where SEO is included UK-WW will take all reasonable care to ensure the web pages achieve a high page rank on search engines however high rank on search engines cannot and will not be guaranteed.
